GE Vernova Sells Proficy Industrial Software Portfolio to TPG for $600 Million

Proficy currently accounts for about 20 percent of GE Vernova’s electrification software revenue. Proficy's revenue more than doubled to $332 million in the second quarter of 2025 from a year ago. The Proficy portfolio provides production optimization software that helps to improve efficiency and quality, enable connected workers, and operationalize sustainability across industries. Its fully integrated solutions include:

  • HMI/SCADA – cloud-based and on-prem options

  • MES – to improve production visibility and control

  • Industrial data management and analytics – for enterprise-level insight

  • Architectural flexibility – spanning equipment, production lines, plants, and enterprise

The proposed transaction would:

  • Establish Proficy as a standalone software business with over 20,000 customers

  • Transfer ownership and control to TPG Capital, the firm’s US and European private equity platform

  • Allow GE Vernova to retain a board observer seat

  • Close in the first half of 2026, with potential for additional proceeds based on outcomes and conditions

GE Vernova said the divestment supports its focus on cost discipline while continuing to invest in its core operations. In April 2025, the company projected a $300 million to $400 million increase in costs and noted efforts to offset tariffs and inflation through pricing. Earlier this year, GE Vernova also announced a $600 million investment in US factories over the next two years to meet rising global electricity demand.
