Schneider Electric announced that it has entered into a definitive agreement to acquire 100 percent of Cognite Holding B.V., a provider of industrial data and AI software, in an all-cash transaction valued at $3.1 billion. The acquisition strengthens Schneider Electric’s Industrial AI strategy and strongly expands the solutions portfolio and industrial intelligence platform of AVEVA, Schneider Electric’s wholly owned industrial software company. Upon completion, Cognite will be integrated with AVEVA and financially reported within Schneider Electric’s Industrial Automation business.
The transaction is subject to customary closing conditions, including required regulatory approvals, and is expected to close in the coming quarters.

After closing, Cognite will be integrated with AVEVA and fully consolidated within Schneider Electric’s Industrial Automation business.
