Autodesk’s planned acquisition of MaintainX is intended to strengthen its operations capabilities and connect maintenance, asset, and lifecycle data across its platform.
Expanding from Design and Make to Operations
Autodesk announced that it has entered into a definitive agreement to acquire MaintainX in an all-cash transaction valued at approximately $3.6 billion.
Autodesk’s strategy is focused on converging design, make, and operate workflows so data and insights can move across a continuous lifecycle. With the creation of Autodesk Operations Solutions, the company is bringing its operations capabilities together under a unified platform. The proposed acquisition of MaintainX is expected to strengthen Autodesk’s ability to connect operations workflows with the broader asset lifecycle and support faster, more informed decision-making.
Operations is a significant opportunity for Autodesk and a natural extension of its platform strategy. Organizations are increasingly looking to connect workflows, real-world performance, and lifecycle data to improve reliability and reduce downtime. Expanding further into operations is also expected to support higher-value system-level AI, extend Autodesk’s engagement with assets and systems from years to decades, and expand its addressable market.
MaintainX’s Role in Operational Data
MaintainX’s pre-built integrations and scalable go-to-market approach in operations offer expansion potential across customer segments, geographies, and adjacent use cases. Its role in day-to-day maintenance and operational activity also gives Autodesk access to data on:
Asset history.
Inspections.
Maintenance patterns.
Real-world performance.
Autodesk Operations Solutions brings together Autodesk’s growing operations capabilities on its unified platform, including digital twin, planning and execution, and performance analysis. This includes Tandem, Flexsim, Fusion Operations, and Factory Design Utilities. The platform reflects Autodesk’s long-term focus on helping customers create a continuous, data-driven loop across asset definition, deployment, operation, maintenance, and performance optimization.
MaintainX is used by organizations around the world to manage maintenance activity, asset information, inspections, work orders, and operational workflows. Its solution is designed to capture high-frequency data on asset condition, maintenance history, and performance in the field.
Transaction Details
Autodesk intends to fund the transaction with a combination of cash on hand and debt financing. The transaction is subject to regulatory reviews and other customary closing conditions and is expected to close later this fiscal year. MaintainX expects to achieve more than $135 million in annualized recurring revenue for calendar year 2026, with growth of more than 50 percent.
